These Terms and Conditions (“Agreement”) govern the use of digital marketing services provided by ChocozMedia (“we”, “us”, or “our”) to the client (“you”, “your”, or “Client”). By engaging with our services, you agree to be bound by the following terms.
1. Services Offered
ChocozMedia provides the following services (but not limited to):
- Search Engine Optimization (SEO)
- Pay-Per-Click (PPC) Advertising
- Social Media Marketing (SMM)
- Content Marketing
- Website Design and Development
- Google My Business Optimization
- Logo/Banner Design
- WhatsApp & Email Marketing
- Analytics and Reporting
Each project or campaign will be guided by a custom proposal or service agreement.
2. Client Obligations
The Client agrees to:
- Provide accurate, complete, and timely information required for service execution
- Grant access to relevant platforms (website, social accounts, ad accounts, etc.)
- Make timely payments as agreed upon
- Approve or respond to deliverables or campaign decisions in a timely manner
- Refrain from using our services for unlawful or unethical activities
3. Payment Terms
- All services require a 50% advance payment before the project commences unless otherwise agreed in writing
- Remaining 50% is due upon project completion or as per agreed milestones
- Recurring monthly services (like SEO or SMM) are billed on a monthly basis and must be paid in advance
- Late payments beyond 10 days may incur a late fee of 2% per month
4. Cancellation and Refund Policy
- Services may be cancelled with a 15-day written notice
- Any work completed up to the cancellation date will be billable
- No refunds will be provided for services already rendered or partially completed
- Advance payments are non-refundable unless ChocozMedia fails to initiate the service within 15 business days
5. Intellectual Property
- All materials developed by ChocozMedia (ads, graphics, content, etc.) remain our property until full payment is received
- After full payment, the rights to final approved deliverables will be transferred to the Client
- ChocozMedia reserves the right to use project work in its portfolio or promotional materials
6. Confidentiality
Both parties agree to maintain the confidentiality of all business, technical, and financial information disclosed during the course of the engagement.
7. Limitation of Liability
ChocozMedia will not be liable for:
- Any indirect, incidental, or consequential losses
- Downtime caused by third-party platforms
- Loss of data or earnings due to external issues (e.g., platform bans, policy changes, algorithm updates)
Our liability is limited to the amount paid by the Client for the service in question.
8. Disclaimer
ChocozMedia does not guarantee specific results (e.g., rankings, traffic, or conversions) as these depend on several factors beyond our control (search engine algorithms, competition, ad platforms, etc.).
9. Termination
ChocozMedia reserves the right to terminate services without notice if:
- The Client breaches these Terms
- There is suspected fraudulent activity
- The working environment becomes abusive or unprofessional
10. Governing Law
These Terms are governed by the laws of [Insert State/Country — e.g., India]. Any disputes will be handled under the jurisdiction of courts in [City, e.g., Bhubaneswar, Odisha].
